Subscription contracts are the most common in startups and small businesses. They are used when entrepreneurs do not have the resources to cooperate with venture capitalists or to make the company public. The subscription contract is part of the private placement memorandum. Companies make these memos available to investors. It replaces a flyer. A partnership is a trade agreement between two or more people who own a joint venture. All partners are legally responsible for the actions of one of the partners. There is therefore a financial risk when a commercial partnership is entered into.
